Terms of Service

1. Who we are

Simplist is operated by VECTOR VECTOR VECTOR & VECTOR, LLC, a limited liability company formed in the State of Delaware, United States. In these terms, "we" and "us" mean that company, and "you" means the person or organization using the service. You can reach us at info@vector.sh.

2. Your account

You need an account to use Simplist. Give us an email address you control, keep your password to yourself, and tell us promptly if you think someone else has gained access. You are responsible for what happens under your account.

A workspace can have several members with different roles. Whoever owns a workspace controls its membership and its billing, and can remove members or delete the workspace.

3. Your content stays yours

You keep all rights to the records, files, and text you put into Simplist. We claim no ownership of it.

To actually run the service we need your permission to store, copy, transmit, and display that content — for example writing it to our database, keeping version snapshots, generating image thumbnails, indexing it so you can search it, and sending it back to your browser. That permission exists only to operate Simplist for you, and it ends when you delete the content or your account.

We do not sell your content, and we do not use it to train machine-learning models.

4. Acceptable use

Don't use Simplist to break the law, to store or distribute material you have no right to, or to host malware. Don't attack the service — no probing for vulnerabilities without our written permission, no attempts to access other people's workspaces, no deliberately overloading our infrastructure.

The API and MCP server are there to be used, including by AI agents acting on your behalf. Automated access is welcome as long as it is reasonable; we may rate-limit or suspend traffic that threatens the service for everyone else.

5. Plans, billing, and cancellation

The Free plan is free indefinitely, subject to the limits published on our pricing page. There is no trial clock, and we will not ask you for a card to stay on it.

Pro is billed in advance, per member, per month, and renews automatically until you cancel. Payments are processed by Stripe; we never see or store your full card number. Prices are in US dollars and exclude any tax we are required to collect.

You can cancel at any time from your workspace's billing settings. Cancellation takes effect at the end of the period you have already paid for, and we do not refund partial periods unless the law requires it.

If a payment fails, your workspace keeps its Pro features for 30 days while the payment is retried, and we show you the date access would change. After that the workspace returns to the Free limits. This never deletes anything: your existing records and files remain, but you cannot create new ones beyond the Free caps until billing is resolved.

We may change prices. If we do, we will tell you before the change affects a workspace you are paying for, and you can cancel instead of accepting it.

6. Getting your data out

You can export your whole workspace — its structure, its records, and the files you uploaded — from inside the app, on any plan, at any time. We think you should be able to leave without asking us for anything.

7. Availability and changes to the service

We work to keep Simplist running, but we do not offer a guaranteed uptime commitment. The service is provided as it is, and there will be maintenance, outages, and bugs.

We may add, change, or remove features. If we intend to remove something you rely on, or shut the service down, we will give you notice and time to export your data.

8. Suspension and termination

You may stop using Simplist and delete your content whenever you like.

We may suspend or close an account that materially breaches these terms — for example illegal content or an attack on the service. Except where the law or the severity of the breach prevents it, we will contact you first and give you a chance to export your data and put things right.

9. Disclaimers and liability

To the fullest extent the law allows, Simplist is provided without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.

To the fullest extent the law allows, our total liability for any claim relating to the service is limited to the amount you paid us for it in the twelve months before the claim arose, and we are not liable for indirect or consequential losses, including lost profits or lost data.

Some jurisdictions do not allow these limits. Where that is the case, they apply only as far as the law permits, and nothing here removes a right you cannot legally waive.

10. Governing law

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules.

11. Changes to these terms

We may update these terms. When we make a material change we will update the effective date above and, for anyone with an account, tell you before it takes effect. Continuing to use Simplist afterwards means you accept the new terms. Questions go to info@vector.sh.
